Independent Contractor Marketplace Agreement

CRITICAL SUMMARY: TheOperation is a software communication platform, NOT an employer, courier company, or banking institution. All real USD payments are processed peer-to-peer through Stripe Connect Express. In-game Street Credits have ZERO monetary value.

1. Independent Subcontractor Status (1099 Relationship)

By claiming or accepting any real-world errand, foot-traffic bounty, or commercial errand through TheOperation platform, you expressly acknowledge and agree that:

You are operating as an Independent Subcontractor and sole proprietor, NOT an employee, agent, joint venturer, or partner of TheOperation or the task poster.
You retain sole discretion and control over the manner, means, routes, schedule, and methods utilized to perform any accepted physical task.
You are solely responsible for all federal, state, and municipal tax obligations (including self-employment taxes and 1099-MISC/NEC reporting).

2. Third-Party Software Venue & Indemnification

TheOperation serves exclusively as a neutral technological venue matching task posters with willing independent contractors. Posters and runners contract directly with one another. To the maximum extent permitted by applicable law, you agree to indemnify, hold harmless, and defend TheOperation and its operators from any claims, liabilities, bodily injury, property damage, traffic infractions, or disputes arising out of the performance of physical errands.

3. Dual-Layer Economy & FinCEN Compliance

DUAL CURRENCY SEPARATION:
(a) Closed-Loop In-Game Street Credits ("CR / Capital"): Purely synthetic gameplay counters used for RPG combat, safehouse resets, and territory flips. Street Credits possess zero cash-out value and cannot under any circumstances be redeemed, traded, or refunded for fiat currency.
(b) Real USD Escrow (Stripe Connect): Real currency bounties are held in external escrow via Stripe PaymentIntents. The platform does not take banking custody of funds. Payouts are transferred directly to the runner's verified Stripe Express account upon cryptographic QR or GPS proof of delivery, less a 10% platform software service fee.

4. Safety, Physical Risks & Law Compliance

Tasks must be performed in strict adherence to all municipal laws, pedestrian safety codes, private property rights, and traffic regulations. Do NOT trespass, operate vehicles while interacting with screens, or enter unsafe or hazardous environments. You perform all physical tasks entirely at your own independent risk.
